Following to the board meeting held on September 16, 2015 at Breder Suasso headquarters, it was decided to relocate offices and operation of Breder Suasso Ltd to its new premises.
Extract from the published resolution is given hereafter.
RESOLUTION IN WRITING TO CHANGE THE REGISTERED OFFICE OF BREDER SUASSO LTD
TO LEVEL 11, 300 QUEEN STREET, AUCKLAND 1010
Having regard to
(a) the section 187 of the Companies Act 1993 reproduced hereafter;
187 Change of registered office
(1) Subject to the company’s constitution and to subsection (3), the board of a company may change the registered office of the company at any time.
(2) Notice in the prescribed form of the change must be given to the Registrar for registration.
(3) The change in the registered office takes effect on a date stated in the notice not being a date that is earlier than 5 working days after the notice is registered.
(b) the resolution in writing dated 29 June 2015 to change the number of Directors required for a quorum at a meeting of the Board of Directors of Breder Suasso Limited Decides, by this resolution in writing, that the Registered Office of Breder Suasso Ltd will be moved
from Level 2, Khyber Pass Road, Grafton, Auckland 1023 to Level 11, 300 Queen Street, Auckland 1010 as from 25 September 2015.
The new address of the Registered Office will be notified to the Companies Office and to the Registrar of the Financial Service Providers Register as soon as possible.
